Māhanga Technologies Limited

Rotorua, New Zealand

Proposal for Todd

Head of Growth and Partnerships

Who we are and why we're doing this

Māhanga means twins

Māhanga Technologies is founded by twin brothers Bruce and Bryan. Every product we build started as a problem we lived through ourselves. Rather than put up with it, we built the answer, and then built it properly so it could help other people in the same position.

Our aim is to build and grow a company whose applications make a real difference in people's daily lives. The apps are the vehicle: the revenue they earn is what allows the company to develop further, diversify into new lines of business, and reach a financial position where we can do what we're actually here to do:

What we've built

All voice first. All built to keep people safe and keep their data their own.

Certo and Doctor's Journal are ready for launch and are the focus first. More detail on every product, and what's coming, is on the second page.

The role

Head of Growth and Partnerships

Growth

Partnerships

Standing

Commission

A percentage of everything the company banks each month, across all products

Monthly company revenueYour rate on that band
First $10,0005%
$10,000 to $25,0004%
$25,000 to $50,0003%
$50,000 to $100,0002%
Above $100,0001%

Example

  • The company banks $12,000 in a month
  • 5% of the first $10,000 = $500
  • 4% of the next $2,000 = $80
  • Commission for that month: $580

How it works

Retainer

$500 a month, paid on top of commission, for as long as you're in the role

Example

  • The company banks $1,000 in a month and running costs are $100
  • $900 is left, so you get $450 and the company keeps $450
  • Once the company is banking more than about $1,200 a month, the full $500 is paid and commission runs on top of it

Neither of us gets paid unless the other does. There's no deadline on this — if it takes a while to get there, the split simply keeps running.

Shares

A 2% share of the company, gifted in recognition of what you'll bring to it

How they're earned

If you leave

Example

  • Leave at month 13: you hold roughly 0.68% of the company
  • Stay three years: you hold the full 2%

Start-up loan

If you put money in to get things off the ground, it's a loan, not a share purchase — your 2% stays clean

Summary of terms

Agreement

This proposal takes effect once signed by all three parties below and the company is registered. The share grant will be reviewed by the company's accountant before shares are issued.

Our intention is that as revenue supports it, these contract roles become salaried positions with the company. When that point comes, whether you move across full time will be your choice.

Page two — the products and the partnership targets

Working detail for Todd. This page will keep growing.

The products

Every one is voice first

Doctor's Journal — ready for launch

  • Started because Bruce kept forgetting appointments and what the doctor had said
  • Records the consultation, transcribes it, and returns a plain-English summary, the doctor's notes and your reminders
  • Medications with reminders, blood tests explained in plain English, appointment letters turned into calendar entries, documents, symptoms, journaling and every provider you see
  • Already in eight languages including te reo Māori, Samoan, Tongan and Fijian, with more easy to add
  • The same problem faces millions of people

Certo — ready for launch

  • Bruce is an electrician with thirty years in the trade and wanted to build something for it
  • One of the sparkies asked for an app to handle the paperwork, and Certo grew from there
  • Certificates of compliance and the forms electricians, inspectors and companies deal with every day

PhotoVault

  • Started as somewhere to keep our own memories, then built for every family to do the same
  • Recognises faces, objects, places, dates and seasons, and organises everything into albums, collections, spaces and tags
  • Send one link after a wedding or birthday and everyone's photos come back into one shared album; family newsletters work the same way
  • Resurfaces memories the way the big tech companies do, done better, and built for families

TrampSafe — close to release

  • Bryan's app for trampers, hunters and cyclists
  • Precise navigation and location marking, hut to hut, across multi-day trips, with timing built in

Dive Central — in development

  • Built because Bruce is a diver: plan the dive, dive the plan
  • Voice safety brief, then your dive plan is texted to family automatically
  • If you're not back inside your dive time plus a safety buffer, they're alerted; when you close the dive off, they get the home-safe message
  • Built with kaimoana divers and their whānau in mind

StillWater — close to release

  • Bryan's Bible app

Te reo Māori app — in development

  • Learning to speak Māori

Skye — the ecosystem

  • Born because life shouldn't mean opening ten apps: messaging, calls, texts, email, calendar, notes, shared family calendars and lists, all in one place, all run by voice
  • Skye is your own AI companion at the centre of it — send a message, check the calendar, invite the kids to dinner on Friday, and she tells you when they've accepted
  • Built outside Google and Apple. Your data stays private, secure and yours. Not the tech companies'.
  • You choose the language Skye speaks, including te reo Māori

In the pipeline

  • Certo Jobs — a full job management platform for trades, fully built and tested, pre-release
  • A business planning and job-scoping tool
  • Home Assistant integration into the Skye ecosystem
  • Supporting other people to build their own apps, including around hardware

Partnership targets

Certo and Doctor's Journal first. Papa Reo throughout.

Papa Reo / Te Hiku Media, Kaitāia — critical

  • Te reo Māori voice across Doctor's Journal, Skye and the te reo app
  • The same values on data: it belongs to the people and is used only for their benefit

Doctor's Journal

The model: the partner funds the subscription for its members, so they get it at no cost.

  • Māori and iwi health providers — the primary target
    • Ngāti Pikiao Health Services, Rotorua
    • Ngāti Hine, Northland
    • Every region has its own — one conversation per rohe
  • Hauora and Whānau Ora collectives — one conversation reaches several providers
  • Māori land trusts and rūnanga with wellbeing programmes and funding of their own
  • Pacific church and community networks — the app already speaks Samoan, Tongan and Fijian
  • Primary Health Organisations
  • Aged care and retirement village operators
  • Disability support and home care providers
  • Pharmacy groups

Certo

The model: companies and organisations run their compliance workflow through Certo.

  • Kāinga Ora — forms and workflow first, Doctor's Journal for staff later
  • Councils — their own maintenance and electrical crews, plus the property they own
  • Lines companies
  • Trade and electrical contracting companies
  • Property managers
  • Iwi-owned construction and infrastructure companies
  • Facilities management and maintenance contractors
  • Electrical training providers and apprenticeship organisations — reach apprentices before they enter the trade
  • Master Electricians and other trade membership bodies

TrampSafe

  • Department of Conservation, regional offices
  • Tramping and alpine clubs
  • Mountain Safety Council
  • Land Search and Rescue
  • Outdoor education providers and school outdoor programmes

Dive Central

  • Dive training agencies and local dive schools
  • Dive clubs
  • Coastguard and Water Safety New Zealand
  • Iwi with coastal rohe and kaimoana gathering groups

Te reo Māori app and Skye

  • Kura kaupapa Māori and wānanga
  • Pacific church and community networks

Across the safety apps

  • ACC — injury prevention funding, and both apps are prevention by design
  • Regional council civil defence teams

Across everything

  • Large regional employers — councils, forestry, mills and manufacturers — trades for Certo, staff wellbeing for Doctor's Journal
  • Any organisation that becomes a key partner and helps fund the work
